BaselineOS — Terms of Service
Section titled “BaselineOS — Terms of Service”Effective Date: April 13, 2026
These Terms of Service (“Terms”) govern your use of BaselineOS, an AI operating system SDK and desktop application (“the Software”) provided by GTCX — Global Trade & Compliance Exchange (“GTCX”, “we”, “us”, “our”). By installing, accessing, or using BaselineOS, you agree to be bound by these Terms.
1. Description of Service
Section titled “1. Description of Service”BaselineOS is an AI operating system and studio that provides convention-over-configuration tooling for enterprise AI operations. It consists of:
- An open-source SDK distributed via npm (
baselineos) - A desktop application (signed
.dmgfor macOS) - Documentation and developer resources
BaselineOS does not provide AI models. You supply your own API keys from third-party LLM providers (Anthropic, OpenAI, Google, and others).
2. Licensing
Section titled “2. Licensing”The BaselineOS SDK is licensed under the Apache License 2.0. The full license text is included in the SDK repository.
Enterprise features, the desktop application, and commercial extensions are licensed separately under a commercial license agreement. Contact us for details.
3. Your Responsibilities
Section titled “3. Your Responsibilities”- API Keys. You are responsible for obtaining, securing, and paying for your own LLM API keys. BaselineOS stores API keys locally on your machine using AES-256 encryption. We never receive, transmit, or have access to your API keys.
- API Costs. All costs incurred from LLM provider usage (token consumption, API calls) are your responsibility. BaselineOS provides tools to minimize these costs (model routing, prompt caching, token budgeting) but does not guarantee cost outcomes.
- Data Security. You are responsible for the security of your local environment, including the
.baseline/configuration directory and any credentials stored therein. - Compliance. You are responsible for ensuring your use of BaselineOS and connected LLM providers complies with applicable laws, regulations, and your organization’s policies.
4. Data Handling
Section titled “4. Data Handling”BaselineOS operates locally. Your organizational data, configuration, terminology, and AI interaction history remain on your machine. BaselineOS does not transmit organizational data to GTCX servers.

.baseline/directory and browser localStorage - LLM interactions flow directly between your machine and the LLM provider
- BaselineOS processes LLM output locally (terminology enforcement, provenance tracking) but does not relay data through GTCX infrastructure
5. No Telemetry Without Consent
Section titled “5. No Telemetry Without Consent”BaselineOS does not collect usage telemetry, analytics, or tracking data. If we introduce optional telemetry in the future, it will require explicit opt-in consent and will be clearly documented.
6. AI Output Disclaimer
Section titled “6. AI Output Disclaimer”BaselineOS provides terminology enforcement, provenance tracking, and output processing capabilities. However:
- BaselineOS does not guarantee the factual accuracy, completeness, or fitness of any AI-generated output. AI outputs are generated by third-party LLM providers and may contain errors, hallucinations, or biases.
- You are responsible for reviewing and validating all AI-generated content before relying on it for any purpose.
- BaselineOS is not a substitute for professional judgment in any domain, including but not limited to legal, medical, financial, or compliance matters.
7. Limitation of Liability
Section titled “7. Limitation of Liability”TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GTCX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your use or inability to use BaselineOS
- Any AI-generated output or actions taken based on such output
- Unauthorized access to or alteration of your data or API keys
- Any third-party LLM provider service interruptions, errors, or costs
- Any other matter relating to BaselineOS
IN NO EVENT SHALL GTCX’S AGGREGATE LIABILITY EXCEED THE AMOUNT YOU PAID FOR BASELINEOS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
8. Warranty Disclaimer
Section titled “8. Warranty Disclaimer”BASELINEOS IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9. Modifications
Section titled “9. Modifications”We reserve the right to modify these Terms at any time. Material changes will be communicated through the BaselineOS release notes or documentation. Continued use of BaselineOS after changes constitutes acceptance of the modified Terms.
10. Termination
Section titled “10. Termination”You may stop using BaselineOS at any time by uninstalling the software and deleting the .baseline/ directory.
We may terminate or suspend access to commercial features for breach of these Terms or non-payment, with reasonable notice where practicable.
11. Governing Law
Section titled “11. Governing Law”The governing law and jurisdiction for these Terms shall be determined by legal counsel and specified in the final version of this agreement.
